Popul8 License Agreement Acknowledgment

This Popul8 License Agreement Acknowledgment (this “Acknowledgment”) is an explicit acknowledgment of the separately executed Popul8 Terms of Use and License Agreement (the “Agreement”) between you or the organization on behalf of which you are acting (“Customer,” “you” or “your”) and Didimo, Inc., a Delaware corporation with its office located at 4600 140th Avenue North, Suite 180, Clearwater, FL 33762, USA (“Didimo,” “we,” “our” or “us”) that governs your use of this Software and any resulting Animation Files (as defined in the Agreement) generated therefrom, and any updates thereto, except to the extent different terms apply to such updates.

As a reminder, under the Agreement, Customer has agreed that it shall use the Software solely to make Animation Files for its own use, or, where expressly specified in an Order Form, on behalf of Customer’s Users (as there defined in the Agreement), and that it shall use the Software in compliance with the Agreement, any related Order Form (as defined in the Agreement), and all applicable laws. Among other things, Customer shall not, and shall use commercially reasonable efforts to ensure its Users do not disassemble, decompile, reverse engineer or otherwise attempt to derive source code or other trade secrets from Popul8, including but not limited to the Animation Files, which are to be used by Customer in accordance with all applicable laws (including privacy laws) and any third party rights. The several terms and conditions of the Agreement are hereby incorporated by reference in all respects and shall continue to govern your use of the Software and Animation Files.

By clicking the “I ACCEPT” BUTTON BELOW, you (a) acknowledge that you have read and understand BOTH this ACKNOWLEDGMENT AND THE Agreement; (b) represent and warrant that you have the right, power and authority to enter into this ACKNOWLEDGMENT AND THE Agreement and, if entering into this ACKNOWLEDGMENT ON BEHALF OF an organization, that you have the legal authority to bind that organization; and (c) ACKNOWLEDGE AND accept tHE Agreement and agree that you OR SUCH ORGANIZATION, AS APPLICABLE, are legally bound by thE Agreement.

If you do not HEREBY ACKNOWLEDGE THE SEPARATE Agreement MADE BY YOU AND DIDIMO, you may not access or use the SOFTWARE or Animation Files GENERATED THEREFROM.
